Terms of service

· I ·Parties

These terms of service (the "Terms") govern the use of the website at guestlineportal.com and the subscription services described on it (together, the "Service"). The Service is provided by GuestlinePortal Ltd, a private company limited by shares incorporated in Ireland under Companies Registration Office number 728 419, VAT number IE 3841972K, having its registered office at 21 Grafton Street, Dublin D02 XH54, Ireland ("GuestlinePortal", "we", "us"). By subscribing to any Service the property operator or hotel group ("Customer", "you") agrees to these Terms.

· II ·Independence

GuestlinePortal is an independent Irish add-on portal for Guestline Rezlynx PMS. GuestlinePortal is not affiliated, sponsored or endorsed by Guestline Ltd or its parent group. All trademarks, product names and logos are the property of their respective owners. The Service is built to interoperate with Rezlynx via the official Guestline API. GuestlinePortal does not replace Rezlynx — Rezlynx remains the source of truth for reservations, folios, rates and guest data.

· III ·Service description

The Service comprises a catalog of software modules — currently ten in number — that connect to the Customer's Guestline Client Portal via the official Rezlynx API and provide Irish-market-specific extensions: Fáilte Ireland grading integration, Revenue Commissioners-compliant e-invoicing, Bank of Ireland and AIB Merchant Services payment connectors, Irish OTA channel management, regional benchmark playbooks for Dublin, Cork, Galway, Killarney and Belfast, yield management tuned for Irish demand events, and multi-property orchestration for Irish hotel groups.

· IV ·Contract formation and cancellation right

A subscription contract is formed when the Customer completes the checkout flow and receives an activation email from mail.guestlineportal.com. The Customer's right to cancel under the European Communities (Consumer Information, Cancellation and Other Rights) Regulations 2013 does not apply to B2B contracts between merchants. However, GuestlinePortal grants a discretionary equivalent right — the Customer may cancel any subscription within fourteen calendar days of activation, in writing to support@guestlineportal.com, and receive a full refund of any amount paid.

· V ·Pricing and billing

Prices for each module are stated in EUR on the pricing and product pages of the Service. Prices exclude Irish VAT which is added at the applicable rate — 23% on the service line for Republic of Ireland Customers. For EU B2B Customers with a valid VAT number verified against the VIES database, reverse charge applies and no VAT is added. Billing is monthly in arrears, with the first month provided free of charge. Payment is taken by SEPA Direct Debit on an Irish or EEA IBAN, or by card via Bank of Ireland Payment Acceptance.

· VI ·Service level and availability

GuestlinePortal targets 99.9% monthly availability for the Client Portal and 99.95% for the API integration surfaces. Scheduled maintenance is announced at least 48 hours in advance and is normally performed between 02:00 and 05:00 IST/GMT on Sunday mornings. Customer credits for unplanned unavailability are calculated per the credit schedule in the DPA (Data Processing Agreement).

· VII ·Data processing

The Customer is the data controller and GuestlinePortal is the data processor in respect of guest personal data flowing through the Service. The processing is governed by the DPA which is deemed to form part of these Terms. Data is stored in the EU (EU-Central-1 region with a Dublin failover). GuestlinePortal is registered with the Data Protection Commission (DPC) under registration IE-14872. The Data Protection Officer is contactable at dpo@guestlineportal.com.

· VIII ·Acceptable use

The Customer agrees to use the Service only for legitimate hospitality operations and in accordance with all applicable Irish and European law, including but not limited to the Consumer Protection Act 2007, the E-Commerce Regulations 2003 (SI 68/2003), and the Irish Data Protection Act 2018. · IX ·Intellectual property

All software, documentation, editorial content and design elements of the Service are the intellectual property of GuestlinePortal or its licensors. The Customer receives a non-exclusive, non-transferable, revocable licence to use the Service during the subscription term. Guest data and reservation data remain the property of the Customer or the guest, as applicable.

· X ·Liability

To the maximum extent permitted by Irish law, GuestlinePortal's aggregate liability under or in connection with these Terms shall not exceed the total amount paid by the Customer in the preceding twelve calendar months. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot be limited by Irish law.

· XI ·Termination

Either party may terminate a subscription for convenience at the end of any calendar month with thirty days' written notice. GuestlinePortal may terminate immediately for material breach that is not cured within fourteen days of written notice. On termination the Customer's data is retained for thirty days for retrieval and then permanently deleted, subject to the retention obligations set out in the DPA.

· XII ·Governing law and jurisdiction

These Terms are governed by the laws of Ireland. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland, specifically the Circuit Court and, where applicable, the High Court sitting in Dublin. The Customer retains any consumer rights it may have under the mandatory law of its own jurisdiction where those cannot be excluded by contract.

· XIII ·Changes

GuestlinePortal may amend these Terms from time to time. Material changes are notified to the Customer at least thirty days in advance by email to the address on file, and are also published to /changelog. The Customer's continued use of the Service after the effective date of any change constitutes acceptance of the amended Terms.
